Welcome to Myna Systems Inc (“Myna,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website https://www.myna.cx, our software platform, mobile applications, APIs, and related products and services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Services.

1. Who We Are

Myna provides an AI-powered communications and campaign-automation platform that helps businesses engage leads, schedule appointments, and manage conversations across multiple channels.

2. Eligibility and Accounts

• You must be at least 18 years old to use the Services.
• You agree to provide accurate, current, and complete information when creating your account and to keep your credentials secure.
• You are responsible for all activity that occurs under your account.
• If you create an account on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
• We may suspend or terminate your account for misuse, non-payment, or violation of these Terms.

3. Use of Services

You may use the Services only in accordance with these Terms and all applicable laws. You agree not to:

• Use the Services for unlawful, fraudulent, or abusive purposes;
• Send unsolicited or deceptive messages;
• Attempt to reverse-engineer, copy, or modify any part of the Services;
• Interfere with security, performance, or functionality; or
• Circumvent usage limits or billing mechanisms.

We may update, suspend, or discontinue parts of the Services for maintenance, upgrades, or other business reasons.

4. Communications and Consent

By submitting contact information or using our messaging features, you authorize Myna and, where applicable, verified partners or clients to contact you by phone, text message, or email for transactional or marketing purposes. Message and data rates may apply. You can opt out at any time by replying STOP to any text or contacting admin@usemyna.com. Your consent is not a condition of purchase.

5. Payment and Billing

• Subscription: Your workspace is billed monthly in advance according to your chosen plan. Subscriptions automatically renew unless cancelled in billing settings.
• Credits: Credits are used for AI responses, outbound messages, or other metered actions. You may choose a monthly credit allotment and purchase additional credits at any time.
• Auto-Recharge: When your balance falls below a preset threshold, your saved payment method will be charged to automatically top up credits. You may adjust or disable this feature in billing settings.
• Payment Authorization: You authorize Myna to charge your stored payment method for all applicable subscription fees, credit purchases, taxes, and renewals.
• Refunds: All payments are non-refundable, except where required by law.
• Price Changes: Myna may update pricing with at least 30 days’ notice before your next renewal.
• Failure to maintain an active payment method or sufficient credits may result in temporary suspension of Services until payment is received.

6. Intellectual Property

All intellectual-property rights in the Services—including text, graphics, code, software, and documentation—are owned by or licensed to Myna Systems Inc. You may not copy, modify, distribute, or create derivative works without our prior written permission. “Myna,” our logos, and related marks are trademarks of Myna Systems Inc.

7. Your Content and Message Data

You and your authorized users may upload, send, or generate materials while using the Services, including messages, campaign templates, and workspace settings (collectively, “Content”).

Ownership

You retain full ownership of all Content transmitted through your workspace, including messages between you and your customers. Myna does not claim ownership of your business communications.

Use of Message Data

Myna may securely access and process message data only for the following limited purposes:

• Operating and delivering the Services (e.g., routing, storage, analytics);
• Maintaining and improving our AI language models and system performance;
• Detecting and preventing spam, abuse, or security issues; and
• Complying with legal or regulatory obligations.

All message data is encrypted in transit and at rest, and access is restricted to authorized personnel under strict confidentiality and audit protocols.

Opt-Out Option

Enterprise or regulated clients may request exclusion of their message data from model-training activities. Opting out may reduce personalization or learning capabilities but will not affect essential service operation.

Non-Message Content

You grant Myna a limited, non-exclusive, royalty-free license to use non-message Content (such as campaign configurations and workspace metadata) solely to operate, maintain, and improve the Services. Myna will never sell or share your Content for advertising or external marketing.

8. Third-Party Integrations

The Services may connect or interact with third-party platforms, APIs, or software that you choose to enable. Your use of such integrations is governed by each provider’s own terms and privacy policy. Myna does not control or assume responsibility for the content, functionality, or data practices of any third-party system. By enabling an integration, you authorize Myna to exchange limited data with that system only as necessary to provide the connected functionality.

9. Data and Privacy

Our Privacy Policy explains how we collect, use, and protect information. By using the Services, you consent to that processing and to the transfer of data to the United States or other jurisdictions where we operate.

10. Disclaimers

• The Services are provided “as is” and “as available.”
• We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee continuous or error-free operation; accuracy or reliability of AI-generated responses; or that the Services will meet your expectations.
• AI output may not always be accurate or appropriate; you agree not to rely solely on it for decisions with legal, financial, medical, or safety implications.

11. Limitation of Liability

To the fullest extent permitted by law, Myna and its affiliates shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, data, or business). Myna’s total liability for any claim shall not exceed the greater of USD $100 or the amount you paid to Myna in the preceding 12 months. Some jurisdictions do not allow certain limitations; in those cases, Myna’s liability is limited to the maximum extent allowed by law.

12. Indemnification

You agree to indemnify and hold harmless Myna Systems Inc, its affiliates, officers, and employees from any claims, losses, or damages (including legal fees) arising from your Content, your use of the Services, or your violation of these Terms.

13. Termination

You may cancel your account at any time. Myna may suspend or terminate access if you breach these Terms, your account is inactive or unpaid, or we are required to do so by law or for security concerns. Upon termination, your right to use the Services ends immediately. Certain data may be retained for a limited time as required by law or for backup integrity.

14. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association (AAA). You and Myna waive any right to participate in a class action or jury trial.

15. Changes to These Terms

We may modify these Terms periodically. Material changes will be communicated via email or in-product notice at least 30 days before they take effect. Continued use of the Services after that date constitutes acceptance of the revised Terms.

16. General Provisions

• Assignment: You may not assign or transfer your rights or obligations without our written consent.
• Severability: If any provision is invalid, the remaining terms remain enforceable.
• Force Majeure: We are not responsible for delays or failures caused by events beyond our reasonable control.
• Entire Agreement: These Terms and our Privacy Policy constitute the complete agreement between you and Myna and supersede prior understandings.
